Terms and Conditions of the Miko Story Magic Challenge
By clicking on “I accept”, you, being the parent or the legal guardian (“Parent”) of the child (as defined herein below) do hereby acknowledge, consent to and accept, on behalf of your Child, the terms and conditions of the Competition (as defined herein below) (“Agreement”) with R.N. Chidakashi Technologies Inc. and its affiliates (“Miko”) and agreement to the terms and conditions herein.
This Agreement and its terms and conditions herein shall govern the Child’s entry and participation in the Miko Story Magic Challenge, the submission made by the Child, and the Parent’s undertaking to ensure compliance with the Miko’s privacy policies available at Miko.ai, together with all applicable rules and requirements stipulated by Miko in connection with the Competition.
- Purpose
- Miko has launched a Miko Story Magic Challenge (“Competition”) to foster and encourage creativity among children and to identify winning stories which may be published, showcased or otherwise promoted by Miko.
- Participation in the Competition is strictly limited to children between the ages of five (05) and ten (10) with all the story submissions being made exclusively by a Parent on behalf of the (“Child”).
- The Parent confirms that they are lawfully authorised to act on behalf of the Child and that they consent to the Child’s participation in the Competition in accordance with the terms of this Agreement.
- Participation
- The Child shall be entitled to submit only one story. The story submitted must be an original creation of the Child. The Parent may assist only with typing and uploading the story online.
- The story submissions must be made in accordance with the official guidelines published by Miko https://miko.ai/pages/story-magic-guidelines. Any story submitted that is incomplete, plagiarised, inappropriate, or contains personal or sensitive information (including, but not limited to, names of schools, addresses, or telephone numbers of the Child) shall be subject to disqualification at Miko’s sole discretion.
- Miko reserves the right to disqualify any story submitted that includes references to, or is based on, third-party intellectual property, including but not limited to characters, settings, or elements directly related to brands such as Disney, Marvel, or any other licensed franchises.
- Miko reserves the right to disqualify any entry that infringes third-party rights, breaches applicable law, or otherwise fails to comply with the terms of this Agreement.
- Miko shall give authorship credits to the story submitted by the Child.
- The Parent understands and agrees that Miko can at its sole discretion cancel or postpone the Competition at any time without requiring to give prior intimation.
- Ownership of Intellectual Property
- “Intellectual Property Rights” in the context of this Agreement refers to all rights, title, and interest in and to any intellectual property arising from the story submitted by the Child for the Competition, whether such rights are registered or unregistered and shall include, but is not limited to, copyrights, moral rights, and any similar rights under applicable laws, now existing or arising in the future, in any jurisdiction.
- By submitting a story to the Competition, the Parent agrees that Miko shall retain all Intellectual Property Rights perpetually in the story submitted by the Child.
- Miko shall have sole and exclusive rights to use, reproduce, adapt, modify, publish, distribute, display, perform, or otherwise use the submitted stories in any manner including for commercial benefit, worldwide and in perpetuity, without any further consent, notice or compensation to the Parent or the Child.
- Subject to the terms and conditions hereof, Miko grants to the Parent, a limited non-exclusive, non-transferable, revocable, non-sublicensable, license to use the story submitted of their respective Child, only for strict personal use and not for general commercial use.
- Confidentiality
- Miko and the Parent shall take all steps as may be reasonably necessary to protect the integrity of any Confidential Information they may have access to during the Competition (“Confidential Information”). The parties shall ensure against any unauthorized disclosure thereof and shall promptly inform the other party of any potential or accidental disclosure of Confidential Information known to them. The confidentiality obligations of this Agreement set forth in this Agreement shall take effect upon acceptance of this Agreement and remain in force for a duration of five (5) years. The Confidential Information is and will remain the sole and exclusive property of the disclosing party.
- Data Protection and Privacy
- Miko shall collect, store and process personal data provided in connection with the Competition solely for the purpose of administering the Competition and in accordance with the applicable laws.
- By submitting a story, the Parent provides informed consent for Miko to process and use the details submitted by the Parent/Child, including the Child’s first name, city of residence, photograph, and the story (in whole or in part) (“Information”), for marketing, promotional, and publicity purposes. This may include, but is not limited to, publication of the Information on Miko's official websites, social media channels, press releases, and advertising materials. Miko may, at its discretion, is authorised to make commercial use of the story submitted by the Child.
- Notwithstanding anything provided in this Agreement, the Parents agree that no compensation or notice will be provided in connection with this use of the Information by Miko.
- Term and Termination
This Agreement shall be effective from the date of acceptance of this Agreement and shall remain valid and binding until the Competition is completed in its entirety and for a period of one (01) year post such completion (the "Term").
- Force Majeure
Neither party will be liable for any failure to perform any obligation, or from any delay in the performance thereof, due to causes beyond its control, including without limitation industrial disputes of whatever nature, acts of God, strike, lockouts, public enemy, acts of government, or other calamity.
- Governing Law and Jurisdiction
This Competition is governed by and shall be construed under the laws of the State of California, U.S.A., without regard to the conflicts of law provisions therein. The parties hereby irrevocably consent to exclusive jurisdiction or, and venue in, the state and federal courts in California.
- Other General Terms and Conditions
- If any provision of this Agreement is held to be illegal or unenforceable, that provision shall be limited or eliminated to the minimum extent necessary so that these rules shall otherwise remain in full force and effect and enforceable to the fullest extent permitted by applicable law. Miko reserves the right, at its sole discretion, to disqualify any individual it finds to be tampering with the entry process or the operation of the Competition or to be acting in violation of these rules.
- All prize awarded to the winners of this Competition will be subject to all applicable taxes and withholding.
- Both parties acknowledge and agree that the either party shall not be responsible or liable to the other party with respect to this Agreement for any indirect, exemplary, incidental, special or consequential damages, even if such party has been advised of the possibility of such loss or damage.
- The stories generated by the Miko’s story maker app and submitted as part of the Competition are produced using artificial intelligence (“AI”) tools. By participating in the Competition, the Parents acknowledge and accept that the content generated by the app may include errors, omissions, inaccuracies, inappropriate material, or biased information. Miko expressly disclaims any and all liability for damages, losses, costs, or claims whether direct, indirect, incidental, consequential, or special arising from the access, use, reliance, or interpretation of any AI-generated stories.
- Miko does not guarantee that the AI-generated stories will be suitable for all audiences or free from content that may reference or inadvertently infringe third-party intellectual property rights (including, but not limited to, copyrighted characters, brands, trademarks, or other proprietary materials).
